These terms govern the freight forwarding, customs support coordination, and logistics services provided by RTSI.

7. Scope of Services

Robin Transportation Systems Inc. provides freight forwarding, customs support coordination, warehousing, and logistics services as described on the Website and in individual quotations. The specific services, pricing, and terms for each engagement are set out in our quotation or written agreement with you (the "Customer").

Where no specific written agreement exists, these Service Terms and the applicable Standard Trading Conditions (Part C) govern the relationship between RTSI and the Customer.

8. Quotations and Pricing

  • Quotations are valid for [14 DAYS] from the date of issue unless otherwise stated
  • Quotations are non-binding until accepted in writing by both parties
  • Prices are subject to change based on carrier rate adjustments, fuel surcharges, currency fluctuations, and regulatory changes
  • Additional charges may apply for detention, demurrage, storage, re-delivery, or services not included in the original quotation

9. Payment Terms

  • Payment is due within [NET 30 DAYS] of invoice date unless otherwise agreed in writing
  • RTSI reserves the right to require advance payment or a deposit before commencing services
  • Overdue accounts are subject to interest at a rate of 2% per month (24% per annum) on the outstanding balance
  • The Customer is responsible for all duties, taxes, and government fees assessed on their shipments

[Placeholder: Confirm payment terms (Net 30? Net 15?) with client.]

10. Customer Obligations

The Customer agrees to:

  • Provide accurate and complete information about the nature, weight, dimensions, and value of all cargo
  • Properly classify, package, mark, and label all goods in accordance with applicable regulations
  • Provide all documentation required for customs clearance, including commercial invoices, packing lists, certificates of origin, and permits
  • Disclose all dangerous goods in accordance with the Transportation of Dangerous Goods Act and applicable regulations
  • Comply with all applicable export controls, sanctions, and trade regulations

11. Cargo Insurance

RTSI is not an insurer. Carrier liability is limited by international convention and statute.

We strongly recommend that Customers obtain separate cargo insurance to cover the full value of their goods. RTSI can arrange cargo insurance on your behalf upon request. Unless cargo insurance is specifically requested and confirmed in writing, goods are shipped at the Customer's risk, subject only to the carrier's statutory liability limits.

See Section 18 for applicable liability limits by transport mode.

12. Dangerous Goods

The shipper is solely responsible for correct classification, packaging, labeling, and documentation of dangerous goods per the Transportation of Dangerous Goods Act (TDG Act) and applicable international regulations (IATA DGR, IMDG Code).

RTSI relies on shipper declarations and accepts no liability for losses, damages, penalties, or delays arising from incorrect or incomplete dangerous goods information provided by the shipper. The Customer shall indemnify RTSI against all claims, fines, and costs arising from non-compliant dangerous goods shipments.

13. Customs Support

  • RTSI coordinates customs support through licensed customs broker partners. The importer is ultimately responsible for the accuracy of customs declarations, payment of duties and taxes, and regulatory compliance
  • Any required General Agency Agreement (GAA) or Power of Attorney (POA) is completed with the licensed customs broker partner before regulated customs work begins
  • CARM (CBSA Assessment and Revenue Management) delegation must be completed by the Customer in the CARM Client Portal
  • The Customer is responsible for maintaining customs records for a minimum of six years as required by the Customs Act
  • RTSI is not liable for delays, penalties, or seizures resulting from inaccurate, incomplete, or fraudulent information provided by the Customer

14. Non-Resident Importer (NRI) Services

For NRI services, additional terms apply:

  • The foreign company must obtain a valid Canadian Business Number (BN) and import/export account with the Canada Revenue Agency
  • The NRI Customer is responsible for compliance with all CBSA requirements, including duty and tax payments
  • RTSI coordinates logistics and customs support; the NRI Customer remains the importer of record, and any regulated customs agency relationship is with the licensed customs broker partner
  • NRI arrangements may require additional documentation, security deposits, or bonding

15. Temperature-Controlled Shipments

Temperature-controlled shipments use best commercially available equipment. RTSI is not liable for temperature excursions caused by third-party carrier equipment failure, power outages, port or border delays, or events beyond our reasonable control.

16. Repatriation Services

Human remains repatriation is subject to destination country customs regulations, import restrictions, consular requirements, and documentation requirements that vary by jurisdiction. Timelines provided are estimates and may be affected by regulatory processing times outside our control.

17. Amazon FBA Delivery

RTSI arranges transportation and delivery of goods to Amazon fulfilment centres only. We do not provide inventory management, pick-and-pack, fulfilment, order management, or FBA account management services. Delivery timelines are subject to Amazon's receiving schedules and appointment availability.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, pandemics, epidemics, government actions or sanctions, strikes, lockouts, port congestion, natural disasters, severe weather, cyber incidents, power failures, or disruptions to transportation infrastructure.

19. Indemnification

The Customer agrees to indemnify and hold harmless Robin Transportation Systems Inc., its officers, employees, and agents from and against all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from or related to: (a) inaccurate or incomplete information provided by the Customer; (b) non-compliant packaging, labeling, or documentation; (c) failure to disclose dangerous goods; or (d) any breach of these Terms by the Customer.

20. Subcontracting

RTSI may subcontract any part of the services to carriers, agents, warehouses, or other service providers without prior notice to the Customer. RTSI remains the Customer's primary point of contact regardless of subcontracting arrangements.

21. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with the services, except as required by law, regulation, or government authority, or as necessary to perform the services (e.g., sharing shipping details with carriers and customs authorities).

Part C: Standard Trading Conditions

22. CIFFA Standard Trading Conditions
